I have spark and fuel but my 97 Nissan Altima wont start..?

My 97 Nissan Altima just randomly died one night while driving it. We thought is may have been the distributor, but we have spark and it is getting fuel. Its throwing two codes: P1320- ICM circuit & P325- knock sensor. Don't have a ton of money to dump into this car.. any suggestions??
